Tax obligations when ceasing a business

If your business is closing down, there are a number of steps you may need to take.

We recommend that you contact Inland Revenue and discuss the tax obligations when closing your business. They can answer any of your questions. It also means they will not send you any more letters or returns. 

Your obligations may include:

  • cancelling your GST registration
  • filing your final GST return
  • cancelling your employer registration in myIR
  • doing the last payday file for employees
  • completing a business cessation form (IR315)
  • storing business records
  • Accounting for gains or losses from disposing of business assets
  • filing final tax returns
  • paying all tax owed.

If you’re winding up a company you will also need to apply for a letter from Inland Revenue confirming they have no objection to the company’s deregistration. 

Once you have the letter, you can apply to the Companies Office online to be removed from the companies register (deregistration). You'll be required to attach a copy of the letter from Inland Revenue with your online application.
